Terms and Conditions

1. Acceptance of Terms

By engaging the services of Mirror & Mosaic Educational Consulting, LLC ("we," "us," or "our"), you ("you," "the Client," or "the Customer") agree to be bound by these Terms and Conditions ("Terms"). Please read these Terms carefully before using our services. If you do not agree to these Terms, you may not access or use our services.

 

2. Services Offered

We provide educational consulting services, which may include but are not limited to:

• Curriculum development and review

• Professional development workshops for educators

• Educational program evaluation

• Other related educational consulting services as agreed upon.

The specific services to be provided will be outlined in a separate agreement or proposal ("Service Agreement").

 

3. Service Agreement

Each engagement for our services will be governed by a separate Service Agreement. The Service Agreement will detail the specific services to be provided, the project timeline, the fees and payment schedule, and any other specific terms relevant to that engagement. In the event of any conflict between these Terms and a Service Agreement, the terms of the Service Agreement shall prevail.

 

4. Client Responsibilities

You agree to:

• Provide accurate and complete information necessary for us to provide the services.

• Cooperate fully with us and our consultants.

• Meet agreed-upon deadlines and provide necessary materials in a timely manner.

• Inform us promptly of any changes in your circumstances that may affect the services.

• Adhere to all applicable laws and regulations.

• Respect the intellectual property rights of Mirror & Mosaic Educational Consulting, LLC.

 

5. Fees and Payment

• Fees for our services will be outlined in the Service Agreement.

• Payment terms will be specified in the Service Agreement, which may include retainers, hourly rates, project-based fees, or other agreed-upon structures.

• Invoices will be issued according to the schedule outlined in the Service Agreement.

• Payments are due within 5 (five) days of the invoice date unless otherwise specified.

• Late payments may be subject to a late fee of 10% per month or the maximum amount permitted by law.

• You are responsible for any applicable taxes related to the services provided.

• We reserve the right to suspend or terminate services for non-payment.

 

6. Cancellation and Termination

• Either party may terminate a Service Agreement with 30 days written notice, unless otherwise specified in the Service Agreement.

• In the event of cancellation by you, you may be responsible for fees incurred up to the date of termination, as outlined in the Service Agreement.

• We reserve the right to terminate a Service Agreement immediately if you breach these Terms or the Service Agreement.

• Upon termination, any outstanding fees will become immediately due and payable.

 

7. Confidentiality

We will maintain the confidentiality of your personal and educational information in accordance with our Privacy Policy. You agree to maintain the confidentiality of any proprietary information, methodologies, or materials shared by us during the course of providing services.

 

8. Intellectual Property

Unless otherwise agreed upon in writing, all materials, methodologies, and intellectual property developed or provided by Mirror & Mosaic Educational Consulting, LLC remain our sole property. You are granted a non-exclusive, non-transferable license to use these materials solely for the purpose for which the services were provided.

 

9. Disclaimer of Warranties

We will provide our services with reasonable care and skill. However, we make no warranties or representations, express or implied, regarding the outcomes or results of our services. Educational outcomes are influenced by numerous factors beyond our control, including the Client's effort, aptitude, and external circumstances. We do not guarantee admission to any specific educational institution or any specific academic outcome.

 

10. Limitation of Liability

To the maximum extent permitted by law, Mirror & Mosaic Educational Consulting, LLC's total liability to you for any claim arising out of or relating to these Terms or the services provided shall not exceed the total fees paid by you to us under the applicable Service Agreement. In no event shall we be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, data, or opportunities, even if we have been advised of the possibility of such damages.

 

11. Indemnification

You agree to indemnify and hold harmless Mirror & Mosaic Educational Consulting, LLC, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your breach of these Terms or the Service Agreement, your misuse of our services, or your violation of any law or the rights of a third party.

 

12. Governing Law and Dispute Resolution

These Terms and any Service Agreement shall be governed by and construed in accordance with the laws of the State of Wisconsin, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the services provided shall be resolved through mediation or negotiation in Middleton, Wisconsin. If legal action is necessary, it shall be brought exclusively in the state or federal courts located in Dane County, Wisconsin.

 

13. Entire Agreement

These Terms, together with any applicable Service Agreement and our Privacy Policy, constitute the entire agreement between you and Mirror & Mosaic Educational Consulting, LLC with respect to the services provided and supersede all prior or contemporaneous communications and proposals, whether oral or written.

 

14. Amendments

We reserve the right to modify these Terms at any time by posting the revised version on our website or by providing you with written notice. Your continued use of our services after the effective date of any such changes constitutes your acceptance of the revised Terms.

 

15. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

 

16. Notices

All notices and other communications hereunder shall be in writing and shall be deemed to have been duly given when delivered personally, sent by certified or registered mail, return receipt requested, or sent by reputable overnight courier service, addressed to the respective parties at their addresses as last notified in writing. 17. Waiver

No waiver of any provision of these Terms shall be effective unless in writing and signed by the waiving party. No failure or delay by either party in exercising any right, power, or remedy under these Terms shall operate as a waiver of that right, power, or remedy.

 

18. Assignment

You may not assign your rights or obligations under these Terms or any Service Agreement without our prior written consent. We may assign our rights and obligations under these Terms or any Service Agreement without your consent.
